BOARD POLICY 6: ROLE of the CHARTER BOARD VICE CHAIR
The Vice‐Chair of the Charter Board of Directors shall be elected by the Board at its Organizational Meeting, and thereafter at any time determined by the Board, to hold office during the pleasure of the Board.
Dual Role
The Vice Chair serves in a dual role both as Vice Chair for the Board of Directors of Valhalla Community School and as Vice President of the Valhalla School Foundation.
In the Absence of the Chair and Vice Chair
In the event that both the Chair and the Vice-Chair are unable to act due to absence or a conflict of interest, the remaining Directors shall agree on which remaining Director shall act as the Chair for the purpose of carrying out the necessary duties at that time.
Specific Responsibilities
- The Vice‐Chair shall act on behalf of the Chair, in the latter’s absence or conflict of interest, and in such circumstances shall have all the powers, duties and responsibilities of the Chair.
- The Vice‐Chair shall assist the Chair in ensuring that the Board operates in accordance with its own policies and procedures in providing leadership and guidance to the Board.
- Prior to each Board meeting, the Vice‐Chair will confer with the Board Chair and Superintendent (“the Executive Committee”) on items to include on the agenda and become thoroughly familiar with them.
- The Vice-Chair may be assigned other duties and responsibilities by the Chair.
- If the Chair is absent or otherwise unavailable, the Vice Chair may act as a signing authority for the Board. The Board must grant signing authority for its documents to the Vice Chair so that the Chair, whenever required, is empowered to act as the Chair.
